EMF Capital Fund VI Attributes

The core objective of the venture is to generate a cash flow stream derived from rental properties, while simultaneously optimizing appreciation of the portfolio's market value. The Fund has carefully designed its investment platform and acquisition criteria to emulate the characteristics of high-yielding dividend stocks. After deploying its capital, the Fund will begin to distribute the majority of its cashflow on an annual basis to provide a tax-efficient income stream to its investors (similar to a dividend). Concurrently, the Fund can generate additional returns for its investors through the appreciation of the rental/investment portfolio, which will be captured in the increased net asset value of the Units held by the investors (similar to stock price appreciation). This dual approach of cash flow generation and asset appreciation is central to the Fund’s long-term strategy for value creation.

The Fund’s strategic acquisition plan centers on select areas of Palm Beach County, Florida and leverages EMF Capital’s localized knowledge to identify and harness urban renewal and redevelopment trends in the county.

Income

After the deployment of its capital, the Fund seeks to generate a consistent stream of annual distributions funded from its rental operations.

Appreciation

The Fund presents the potential for long-term capital appreciation derived from the growth in the valuation of properties held in the rental portfolio,2 which can be compounded further by participating in the distribution reinvestment program.

Tax-Efficiency

The Fund is structured as a partnership for federal and state tax purposes, allowing investors to avoid the pitfalls of double taxation generally associated with corporate earnings and dividends. In addition, a portion of the Fund’s distributed income may qualify for the reduced tax rates afforded to capital gains.

Utilizing Urban Renewal Trends to Capture Additional Appreciation and Redevelopment Profit

The Fund will target properties in areas that are poised on the brink of, or within, the initial stages of an urban renewal transformation. This positioning allows the Company to participate in the outsized property value appreciation characteristic of a redevelopment wave. In addition, the targeted acquisitions will give the Fund the opportunity to convert a portion of its rental portfolio to custom-built new homes representing a substantial increase in size and quality. The conversions can create a significant jump in valuation which can be realized by the Fund through significant spikes in rent and additional gains on future sales.

Tax-Efficiency

EMF Capital Fund VI has a partnership flow-through
structure which provides unique tax benefits.

Return of Capital

Due to depreciation expense, a portion of the Fund’s annual distributions are expected to be characterized as a return of capital, which is not subject to tax.4

Single Level of Tax

The Fund’s taxable income will only be subject to one level of tax as the income and deductions flow directly to the investors to be recognized on their individual tax returns thereby avoiding the double taxation generally associated with corporate earnings and dividends.

Deferral of Capital Appreciation

Investors benefit from an indefinite deferral of capital appreciation for as long the investment is held.

Performance in All Market Cycles

We will strategically manage the Fund’s deployment of capital and debt levels, seeking stability across all market cycles. The Fund will deploy 100% of its capital before the introduction of any debt financing, which will be tactically matched to the value of the Fund’s portfolio based on current market conditions. This approach ensures that the Fund maintains a strong equity foundation, reducing risk exposure and enhancing financial resilience. By introducing debt financing only after fully deploying capital, the Fund retains flexibility to leverage market opportunities while safeguarding against overleveraging in volatile conditions. The chart 5 below illustrates the potential growth of the Fund’s portfolio valuation, including investor distributions, assuming it meets its capital and leverage deployment schedule and achieves its rental and growth performance benchmarks. It also highlights the Fund’s ability to maintain a strong Debt Service Coverage Ratio by meeting these benchmarks.

Where We Invest - Our Target Market

We target submarkets and locations across Palm Beach County that we expect to experience significant
redevelopment activity over the next five years and beyond which can lead to outsized rent growth, demand, and
appreciation. The map below outlines our primary acquisition area located at the south end of Palm Beach County.

  1. Benchmark performance doesn’t represent an actual investment and frequently has sharp differences from actual returns. Benchmark Targeted returns are inclusive of appreciation and are net of fees. There can be no assurance that the Fund will achieve comparable results or meet its benchmark returns.
  2. Targeted or projected performance doesn’t represent an actual investment and frequently has sharp differences from actual returns. An investment in the Fund has the potential for partial or complete loss of funds invested.
  3. Current tax laws apply dissimilar tax rates to ordinary income, qualified dividends, and capital gains, which can impact your overall tax liability. Prospective investors should consult with their own tax advisor regarding all federal, state, local, and foreign tax considerations applicable to an investment in the Fund.
  4. The return of capital will lower an investor’s basis in the Fund. When an investor sells their interest in the Fund, any gains will consider the selling price relative to the cost basis. Accordingly, the return of capital is a partial deferral of the investor’s tax liability.
